    Terms of Service

    These Terms form a legally binding agreement between you and Best Practice Institute, Inc. ("BPI", "we", "us"). Please read them carefully.

    1. Who We Are

    The websites at bestpracticeinstitute.org, mostlovedworkplace.com, and any subdomains, applications, APIs, widgets (including the CertCheck™ verifier and VisiPage™ employer pages), AI chat assistants, newsletters, certifications, research, webinars, podcasts, and related services (collectively, the "Services") are operated by Best Practice Institute, Inc., a Florida corporation with its principal place of business at 5600 PGA Boulevard, Suite 204, Palm Beach Gardens, FL 33418, United States. BPI was founded in 2001 by Louis Carter.

    2. Acceptance & Eligibility

    By accessing, browsing, registering for, or using any of the Services, you (a) confirm you are at least 16 years old and have legal capacity to enter contracts in your jurisdiction; (b) accept these Terms, our Privacy Policy, Cookie Policy, and Accessibility Statement, each incorporated by reference; and (c) if acting on behalf of a company or other entity, represent that you have authority to bind that entity. If you do not agree, you must not use the Services.

    3. Accounts, Authentication & Security

    Some Services (employer admin portals, candidate accounts, the Top 100 claim workflow) require an account. You agree to provide accurate information, keep your credentials confidential, and notify us immediately at security@bestpracticeinstitute.org if you suspect unauthorized access. You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms or pose a security risk.

    4. Intellectual Property

    All Services and their content — including text, research, articles, video, audio, graphics, software, methodologies, the LOWI™ instrument, the SPARK Model™, the Most Loved Workplace® certification criteria, the Top 100 lists, the CertCheck™ verifier, and the look and feel of the Services — are owned by BPI or our licensors and are protected by U.S. and international copyright, trademark, trade-secret, and other intellectual-property laws.

    4.1 Citation License — explicit permission to quote

    BPI grants the public a standing Citation License. Without additional permission and free of charge, you may:

    • View, read, watch, and listen to the Services for personal, educational, and internal business purposes;
    • Share links to our pages on any channel;
    • Quote up to ninety (90) words verbatim from any single page in articles, blog posts, research, presentations, and AI-generated answers, provided you (a) attribute the quote conspicuously to "Best Practice Institute" (or Best Practice Institute, Inc. for citations) and (b) include a working hyperlink to the source page's canonical URL on bestpracticeinstitute.org. Search engines, AI answer engines, and journalists are explicitly invited to cite our pages under these terms.

    4.2 Prohibited use

    You may not, without our prior written license:

    • Reproduce, republish, redistribute, sell, sublicense, or create derivative works from substantial portions of the Services;
    • Use BPI methodologies, frameworks, certifications, badges, ranking lists, or research to create competing training, certification, ranking, or measurement products;
    • Remove, obscure, or alter copyright, trademark, attribution, or watermark notices;
    • Use automated systems — including AI scrapers, crawlers, large-language-model training pipelines, and bulk download tools — to ingest, mirror, fine-tune on, or embed BPI content for model training, retrieval, or commercial output without an executed data-license agreement. This includes content presented to AI assistants via "browse" or "tool-use" modes for purposes other than answering an individual user's real-time question with attribution and a citation link;
    • Reverse engineer, decompile, or attempt to extract source code from any part of the Services;
    • Interfere with security controls, rate limits, or any operational integrity of the Services.

    5. Trademarks & Brand Use

    The following are trademarks of Best Practice Institute, Inc. (this list is not exhaustive):

    • Best Practice Institute® (Registered)
    • Most Loved Workplace® (Registered)
    • Love of Workplace Index™ (Common-law)
    • LOWI™ (Common-law)
    • SPARK Model™ (Common-law)
    • CertCheck™ (Common-law)
    • VisiPage™ (Common-law)

    Factual references to BPI or our marks (for example, "Acme Corp is certified as a Most Loved Workplace®") are permitted provided the mark is used accurately, with the correct symbol on first use, and without implying endorsement of unrelated products. You may not use our marks in a manner that is likely to cause confusion, dilute the mark, disparage BPI, or in any logo, domain, social handle, app name, NFT, or product name.     6. Most Loved Workplace® Certification & Top 100 Lists

    Most Loved Workplace® certification is granted only after a company completes the Love of Workplace Index™ (LOWI) survey and meets BPI's published methodology thresholds across the five SPARK dimensions. Certification is non-transferable, limited to the certified entity, and valid for the period stated in the certification letter. Certified companies receive a digital badge for use on owned channels in accordance with the BPI Brand Guidelines.

    The Top 100 Most Loved Workplaces® (Global and America's) lists are editorial rankings produced by BPI's research team using the public methodology. Companies cannot pay to be ranked. BPI may revise, correct, or withdraw any list entry, badge, or certification at any time if eligibility criteria are not met or if information proves inaccurate.     7. User Content & Submissions

    When you submit content (Top 100 claims, employer profile edits, job applications, reviews, chat messages, survey responses, feedback) you represent and warrant that (a) the content is accurate and not misleading, (b) you have all rights necessary to submit it, and (c) the content does not infringe any third-party right or violate any law. You grant BPI a worldwide, royalty-free, perpetual, sublicensable license to host, store, reproduce, modify, create derivative works of, publish, and display the content solely for the purposes described in our Privacy Policy and to operate, improve, and promote the Services. We may remove any user content at our sole discretion.

    8. AI Assistant, Automated Outputs & Citations

    The Services include AI features — including our chat assistant, summary generation, and the Workplace Report AI writer. AI outputs are produced by machine-learning models and may contain errors, omissions, hallucinations, or out-of-date information. You should independently verify any AI-generated content before relying on it for a material decision. AI outputs are provided for informational purposes, do not constitute legal, financial, medical, tax, HR, or professional advice, and do not create any advisor-client relationship with BPI. BPI does not warrant the accuracy or completeness of AI outputs and disclaims liability for actions taken in reliance on them to the maximum extent permitted by law.

    9. Third-Party Services & Links

    The Services contain links and integrations to third-party websites and services (including company career sites, LinkedIn, BPI press partners such as The Economist and The Wall Street Journal, payment processors, analytics, email infrastructure, and AI providers). BPI does not control and is not responsible for third-party content, products, services, terms, or privacy practices. Your use of third-party services is governed by those parties' agreements.

    Where the Services include paid features (employer tiers, certification fees, premium research access, training, events), pricing, payment terms, refund policy, and the specific deliverables will be set out in a separate order form, statement of work, or checkout flow. Those order documents control over these Terms in case of conflict regarding the paid Services. All fees are exclusive of taxes; you are responsible for applicable sales, use, and VAT taxes.

    11. Disclaimers

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. BPI'S RESEARCH, FRAMEWORKS, CERTIFICATIONS, AND CONTENT ARE PROVIDED FOR INFORMATIONAL AND ADVISORY PURPOSES AND SHOULD NOT BE THE SOLE BASIS FOR MATERIAL BUSINESS, HR, LEGAL, OR FINANCIAL DECISIONS WITHOUT INDEPENDENT PROFESSIONAL ADVICE.

    12. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BPI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF BPI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BPI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID BPI FOR THE SERVICE GIVING RISE TO THE CLAIM IN THAT 12-MONTH PERIOD, OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

    13. Indemnification

    You agree to defend, indemnify, and hold harmless BPI and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use or misuse of the Services, (b) your violation of these Terms or any applicable law, (c) your user content, or (d) your infringement of any third-party right.

    14. DMCA & Copyright Complaints

    BPI respects intellectual-property rights and responds to notices of alleged infringement that comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). Send DMCA notices to our designated agent:

    Your notice must include the elements required by 17 U.S.C. § 512(c)(3), including your physical or electronic signature, identification of the copyrighted work, identification of the allegedly infringing material with sufficient detail to locate it, your contact information, a good-faith statement, and a statement under penalty of perjury that you are authorized to act for the rights-holder. Repeat infringers will have their access terminated.

    15. Email & Anti-Spam (CAN-SPAM, CASL)

    We comply with the U.S. CAN-SPAM Act and Canada's Anti-Spam Legislation (CASL). All commercial email from BPI includes a clear sender identity and a working unsubscribe link. To opt out of all marketing email immediately, click "unsubscribe" in any email or write to unsubscribe@bestpracticeinstitute.org. Transactional email (account, certification, security) may continue regardless of marketing opt-out.

    16. Suspension & Termination

    We may suspend or terminate your access to all or part of the Services at any time for any reason, including violation of these Terms, security risk, legal compulsion, or non-payment. You may stop using the Services at any time. Sections 4 (IP), 5 (Trademarks), 7 (User Content license), 11–13 (Disclaimers, Liability, Indemnity), 14 (DMCA), and 17–22 survive termination.

    17. Governing Law

    These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

    18. Dispute Resolution — Binding Arbitration & Class Waiver

    Please read this section carefully — it affects your legal rights.

    Informal resolution first. Before filing any claim, you and BPI agree to try to resolve the dispute informally for at least 60 days after written notice to legal@bestpracticeinstitute.org.

    Binding arbitration. If we cannot resolve the dispute informally, any controversy, claim, or dispute arising out of or relating to these Terms or the Services will be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for individuals) or Commercial Arbitration Rules (for businesses) then in effect. The seat of arbitration will be Palm Beach County, Florida, and the proceedings will be conducted in English. The arbitrator may award any relief a court could award and the award will be enforceable in any court of competent jurisdiction.

    Class-action waiver. You and BPI each agree that disputes will be brought only in your or our individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, mass, or consolidated proceeding. The arbitrator may not consolidate more than one person's claims.

    Exceptions. Either party may bring (a) a small-claims action in a court of competent jurisdiction, and (b) an action for injunctive or equitable relief to protect intellectual-property rights, in the state or federal courts located in Palm Beach County, Florida, to which both parties consent to exclusive jurisdiction and venue.

    30-day opt-out. You may opt out of this Section 18 by emailing legal@bestpracticeinstitute.org within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out" and including your name and account email.

    19. Export, Sanctions & Anti-Corruption

    You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive U.S. sanctions, and that you are not on any U.S. government denied-party or restricted-party list. You agree to comply with all applicable export-control, sanctions, and anti-bribery laws (including the U.S. Foreign Corrupt Practices Act and the UK Bribery Act).

    20. Changes to the Services or These Terms

    We may modify the Services or these Terms at any time. Material changes will be indicated by updating the "Effective" and "Last updated" dates above, and where appropriate by email or in-product notice. Continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.

    21. Miscellaneous

    • Entire agreement. These Terms (with the Privacy Policy, Cookie Policy, Accessibility Statement, and any order forms) are the entire agreement between you and BPI regarding the Services and supersede any prior agreement.
    • Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in force.
    • No waiver. Failure to enforce any right is not a waiver.
    • Assignment. You may not assign these Terms without our written consent; BPI may assign these Terms in connection with a merger, acquisition, or sale of assets.
    • Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control (acts of God, war, pandemics, internet outages, sanctions).
    • Independent contractors. The parties are independent contractors; no agency, partnership, or joint venture is created.
    • Notices. Legal notices to BPI must be sent to legal@bestpracticeinstitute.org and by mail to the address above. Notices to you may be given by email or in-product notice.
    • Electronic acceptance. You consent to receive communications and contract notices electronically and agree that electronic signatures, clicks, and acceptances satisfy any legal requirement that a communication or contract be in writing.
